What does it mean to buy unlisted shares?
Unlisted shares are shares in companies that are not listed on a regulated marketplace such as Nasdaq Stockholm. They are not available through regular order books. Instead, transactions are carried out privately, typically through a specialised broker with the right network and market insight.
What makes unlisted shares attractive is the opportunity to invest in a company’s growth journey before a potential IPO, often at a lower valuation than may be available once the company reaches the public market. Monitor Capital Markets is a dedicated broker focused exclusively on unlisted companies, giving investors access to opportunities that are not available to the broader market.
Important to know:
- Unlisted shares are not traded on regulated marketplaces and require specialised brokerage
- Pricing is typically based on the company’s latest valuation and current supply and demand in the market
- Unlisted shares cannot be held in an ISK account. They are held in a regular securities account
- Capital gains are generally taxed at 30%
- Liquidity is lower than for listed shares, so they should be viewed as a long-term investment
- Never invest capital you cannot commit for a longer period

Frequently asked questions about buying unlisted shares
How do I buy unlisted shares?
You can purchase unlisted shares through a specialised broker such as Monitor Capital Markets. We source opportunities through our network of shareholders, present a transaction proposal with pricing and terms, and manage the entire process digitally using BankID.
Can I hold unlisted shares in an ISK Account?
No. Unlisted shares cannot be held in an Investment Savings Account (ISK) as they are not traded on a regulated exchange. Instead, they are held in a standard securities account and capital gains are generally taxed at 30%.
Which companies can I buy unlisted shares in?
We have completed transactions in more than 130 companies and maintain ongoing market coverage of over 1,000 private companies. Examples include Klarna, Einride, Koenigsegg and Epidemic Sound. Contact us to find out whether shares are available in a specific company.
What are the risks of investing in unlisted shares?
Unlisted shares generally carry higher risk than publicly listed stocks. Liquidity is lower, access to information can be more limited and it may take time to sell your shares. You should only invest capital that you can commit for the long term.
What does it cost to buy unlisted shares through Monitor Capital Markets?
We charge a transparent 3% commission based on the transaction value. There are no hidden fees, markups or spreads, so you know exactly what the transaction will cost before proceeding.
